This Agreement is made and entered into as of the Date above by and between Black Valley Films (“Company”), whose address is 1622 Elevado Street, Los Angeles, CA 90026, and the Organization listed above, and serves as a licensing agreement for the film Fame High (“Film”).

TERMS AND CONDITIONS

• License: In-person + Virtual Screening - Unlimited public performance rights for a single campus/location + one-time virtual screening (includes DVD)
• Fee: $400
• Term: Life of File + DVD

Standard Restrictions:

• Public Access: Organization shall not upload the Film to any server open to the public.
• Usage: The Film shall not be distributed, reproduced, edited, or modified beyond the Organization’s educational material and specific technical screening purposes.
• Legality: It is illegal to stream, record, post, or share the Film beyond the rights of this agreement.

Representations & Indemnification: Each party warrants they have the authority to enter this agreement and that the use of licensed marks will not infringe on third-party rights. Each party shall indemnify and hold harmless the other from losses arising from a breach of these warranties.

Governing Law: This agreement is governed by the laws of the State of California.

Signatures: Digital acceptance of these terms at the point of sale constitutes a binding agreement between Black Valley Films and the Organization.
